General terms of service
Terms applicable to the consulting and development engagements carried out by NextGen Consulting SARL. Reading is strongly recommended before signing.

1 · Purpose
These General Terms (GT) govern all consulting, audit, software development, training, and support services provided by NextGen Consulting SARL ("NextGen") to you, any legal entity or individual that signs a NextGen quote.
Every engagement is further framed by a signed quote that sets out the scope, schedule, and price of the engagement. In the event of a conflict between the quote and the GT, the quote prevails.
2 · Tracks and deliverables
NextGen offers four standard tracks (DÉMARRER, CONSTRUIRE, TRANSFORMER, LANCER) along with an AI & Automation track. Each track has a deliverable formally described in the quote.
At the end of each milestone, NextGen sends you a provisional deliverable. You have 5 business days to submit written comments. Failing that, the deliverable is deemed approved.
3 · Price, payment, invoicing
Prices are stated in CFA francs (FCFA), excluding taxes. The VAT in force in Côte d'Ivoire (18% as of 15 May 2026) applies where relevant.
For the DÉMARRER track, payment is made in two installments: 50% on signing the quote, 50% on go-live.
For CONSTRUIRE and LANCER, payment is staged by sprint or by tier, as specified in the quote.
For TRANSFORMER, a specific payment schedule is set based on the deployment waves.
Any payment delay of more than 30 days triggers penalties at the Ivorian statutory rate increased by 3 points, and may suspend the engagement.
4 · Intellectual property of deliverables
This is NextGen's central commitment: from the moment the price is paid in full, you fully own the source code, the databases, the API accounts, and the trained models produced as part of the engagement.
NextGen retains ownership only of its internal tools and methods (its scoping "templates", its audit scripts, its internal documentation), which remain reusable for other clients.
No captive license, no "vendor lock-in". You can, at any time, transfer maintenance to another provider or to your own internal teams.
5 · Client obligations
You agree to:
- Appoint a single point of contact with decision-making authority over the project
- Provide NextGen, within reasonable timeframes, with the necessary information and access (business data, system access, login details)
- Pay invoices on the agreed due dates
- Review provisional deliverables within the 5-business-day window
6 · Warranty and support
NextGen warrants that deliverables conform to the quote for a period that varies by track:
- DÉMARRER
- 30 days after go-live
- CONSTRUIRE
- 90 days after the delivery of each sprint
- TRANSFORMER
- Phased warranty, specified in the quote
- LANCER
- 30 days after the MVP goes into production
- AI & Automation
- 90 days after going into production
During this period, NextGen fixes at no extra charge any blocking bug found and reported in writing.
7 · Confidentiality
NextGen agrees to keep strictly confidential all information you share as part of the engagement, throughout the duration of the engagement and for a period of 5 years after it ends.
This confidentiality applies to business data, strategic direction, and any information that a normally diligent operator would consider confidential.
8 · Termination of the contract
You may terminate the engagement at any time with 15 business days' notice. The services performed up to the termination date are due, along with costs incurred but not yet invoiced.
NextGen may terminate the engagement in the event of non-payment, serious breach by you, or if you request a service that is contrary to professional ethics or the law.
9 · Disputes
In the event of a disagreement, the parties agree to first seek an amicable solution within 30 days.
Failing that, the dispute will be submitted to the competent courts of Abidjan, Plateau, under Ivorian law.
